Terms of Service

IMPORTANT NOTICE: This service involves autonomous AI agents executing cryptocurrency trades. You may lose your entire investment. This is NOT financial advice. By using AgentEarn, you acknowledge all risks and accept full responsibility for losses.
1. Acceptance of Terms
By accessing AgentEarn MaxOut ("Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.
2. Eligibility
- You must be 18+ years old
- You must have legal capacity to enter binding contracts
- You must not be located in a jurisdiction where crypto trading is prohibited
- You comply with all KYC/AML requirements imposed by Coinbase or other providers
3. Service Description
AgentEarn provides AI-powered trading agents that:
- Monitor institutional crypto flows via Arkham Intelligence and whale tracking
- Execute autonomous trades on Base Layer 2 via Coinbase Agentic Wallets
- Send voice updates via WhatsApp using ElevenLabs
- Deploy idle capital to yield-generating strategies
You understand that:
- AI agents make autonomous decisions without human approval per trade
- Past performance does not guarantee future results
- Crypto markets are highly volatile and unpredictable
- You may lose 100% of your invested capital
4. Wallet Custody & Access
4.1 Non-Custodial Wallets
Your Coinbase Agentic Wallet is non-custodial. AgentEarn does NOT hold your private keys or have withdrawal access. You maintain full control via Coinbase's infrastructure.
4.2 Agent Permissions
By subscribing, you grant your AI agent permission to:
- Execute trades within your selected risk parameters (2%/5%/10% position sizing)
- Move funds between trading pairs and yield protocols
- Pay network gas fees (subsidized on Base L2)
4.3 Wallet Suspension
AgentEarn may suspend your Service access but will NEVER block access to your Digital Wallet or stored assets, except as required by law or court order.
5. Financial Risks
YOU ACKNOWLEDGE:
- Cryptocurrency trading is extremely risky
- AI predictions are not guaranteed to be accurate
- Market conditions can change instantly, causing losses
- Smart contract bugs may result in total loss of funds
- "Whale tracking" does not guarantee profitable trades
- Yield strategies carry depegging, liquidation, and protocol hack risks
6. Subscription & Billing
6.1 Plans
- Basic ($9/month): 1 agent, 2% max position, conservative risk
- Pro ($29/month): 5 agents, 5% max position, balanced risk
- Elite ($99/month): Unlimited agents, 10% max position, aggressive risk
6.2 Free Trial
All plans include a 7-day free trial. You will NOT be charged during the trial. Cancel anytime via Stripe customer portal.
6.3 Performance Fees
AgentEarn charges a 10% performance fee on realized profits only. Fees are calculated monthly and deducted automatically from your wallet. No fees on losing trades.
6.4 Refunds
No refunds for subscription fees. Trading losses are not refundable. You may cancel anytime to avoid future charges.
7. User Responsibilities
You are solely responsible for:
- Monitoring your agent's activity and performance
- Understanding and accepting all crypto trading risks
- Tax reporting on gains/losses (AgentEarn is not tax advice)
- Securing your WhatsApp and Stripe account credentials
- Complying with laws in your jurisdiction
- Funding your wallet with capital you can afford to lose
8. Prohibited Activities
You may NOT:
- Use the Service for money laundering or illegal activities
- Reverse engineer or attempt to access agent algorithms
- Share your account with others
- Manipulate or interfere with agent operations
- Use the Service if you are under 18 or legally restricted
9. Service Suspension
AgentEarn may suspend or terminate your account immediately for:
- Violation of these Terms
- Fraudulent activity or chargebacks
- Legal or regulatory requirements
- Excessive API abuse or system disruption
Suspension does NOT block your wallet access (see Section 4.3).
10. Disclaimers
10.1 Not Financial Advice
AgentEarn is a software tool, not a financial advisor. Nothing on this platform constitutes investment, legal, or tax advice. Consult licensed professionals before trading.
10.2 No Guarantees
AgentEarn makes NO GUARANTEES of profitability, uptime, or data accuracy. The Service is provided "AS IS" without warranties.
10.3 Third-Party Risks
AgentEarn relies on Coinbase, Arkham Intelligence, Base L2, ElevenLabs, and other providers. We are not liable for their failures, hacks, or downtime.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- AgentEarn is NOT LIABLE for trading losses, no matter how large
- Total liability is capped at the subscription fees you paid in the last 12 months
- AgentEarn is not liable for third-party failures (Coinbase, Base L2, etc.)
- AgentEarn is not liable for wallet hacks, smart contract bugs, or protocol exploits
12. Indemnification
You agree to indemnify and hold AgentEarn harmless from any claims, losses, or damages arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of laws or third-party rights
- Trading losses or tax liabilities
13. Governing Law
These Terms are governed by the laws of Delaware, USA. Any disputes will be resolved through binding arbitration in Delaware, except where prohibited by law.
14. Changes to Terms
AgentEarn may update these Terms at any time. Continued use after changes constitutes acceptance. Material changes will be announced via WhatsApp.
